negating ranks

If I had 2 knights left in a unit that charges a unit on the side, wich is also charged on the side by a separate hero on foot, would the combined unit str of 5 negate the rank bonuses?

Yes, Ant is correct. The same rule applies for a rear charge.

To negate the rank bonus the hero would have to join the knights first making their total US 5, but wasting a turn to gather up.
